The Cheetahs had got off to a flying start to score after just two minutes and then lead 14-6, however they looked down and out as the Waratahs had come storming back.
The hosts had been 23-20 up with 12 minutes left before Raymond Rhule timed his run to perfection to score.
It was the second try of the match for the winger after he stepped past Israel Folau to score in the first half - while Robert Ebersohn crossed in only the second minute after a superb chip and chase from Willie le Roux.
Determined
Johan Goosen was also on target with three conversions and two penalties.
The Waratahs will have been left wondering where it had gone wrong as they had fought back to lead and then had the Cheetahs to pinned back for long periods.
Peter Betham and Adam Ashley-Cooper scored in the first half, while Brendan McKibbin added 16 points with the boot
Betham - whose inclusion ahead of Drew Mitchell had caused some controversy - proved his worth with a determined finish, while Ashley-Cooper wriggled over for his first try in 16 games.
However although they went on to cut the deficit to a point, they couldn't make their pressure count as the Cheetahs clung on.
The defeat means the Waratahs, who saw Berrick Barnes suffer a serious wrist injury, have won just one of their opening four games this season.
